By using and/or visiting this website (collectively, including all content and functionality available through the ridejaunt.org domain name, the “Website”), its associated mobile application (the “App”), or enrolling in SMS/text messaging services provided by Jaunt, you signify your agreement to (1) these terms and conditions (“Terms of Service”), and (2) the privacy policy, found at ridejaunt.org, incorporated here by reference. If you do not agree to any of these terms or the privacy policy, please do not use the Website, the App, or SMS services.
b. Although we may attempt to notify you when major changes are made to these Terms of Service, you should periodically review the most up-to-date version. Jaunt may, in its sole discretion, modify or revise these Terms of Service and policies at any time, and you agree to be bound by such modifications or revisions. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
2. Jaunt Website, App, and SMS Services
a. These Terms of Service apply to all users of the Website, App, and SMS services, including users who are also contributors of content, information, and other materials or services on the Website, App, or through messaging services. The Website and App include all aspects of this website and its associated app, including but not limited to all products, software and services offered via the website and related transit applications.
b. The Website and App may contain links to third-party websites that are not owned or controlled by Jaunt. Jaunt has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites. In addition, Jaunt will not and cannot censor or edit the content of any third-party site. By using the Website, App, or SMS services, you expressly relieve Jaunt from any and all liability arising from your use of any third-party website.
c. Accordingly, we encourage you to be aware when you leave the Website and to read the terms and conditions and privacy policy of each other website that you visit.
d. By opting into SMS communications, you consent to receive service-related text messages from Jaunt, including trip reminders, alerts, updates, and service notifications. Message frequency may vary. Message and data rates may apply. Reply STOP to cancel and HELP for assistance. Carrier participation is not guaranteed, and carriers are not liable for delayed or undelivered messages.
3. General Use of the Website, App, and SMS Services — Permissions and Restrictions
Jaunt hereby grants you permission to access and use the Website, App, and SMS services as set forth in these Terms of Service, provided that:
a. You agree not to distribute in any medium any part of the Website, App, or SMS content without prior written authorization from Jaunt.
b. You agree not to alter or modify any part of the Website or the App.
c. You agree not to use the Website, App, or SMS services for any commercial use, without the prior written authorization of Jaunt.
d. You agree not to use or launch any automated system, including without limitation, “robots,” “spiders,” or “offline readers,” that accesses the Website or App in a manner that sends more request messages to Jaunt servers in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser or application.
Notwithstanding the foregoing, Jaunt grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. Jaunt reserves the right to revoke these exceptions either generally or in specific cases.
You agree not to collect or harvest any personally identifiable information from the Website, App, or SMS services, nor to use the communication systems provided by the Website, App, or SMS services for any commercial solicitation purposes.
e. In your use of the Website, App, and SMS services, you will otherwise comply with the terms and conditions of these Terms of Service and all applicable local, national, and international laws and regulations.
f. Jaunt reserves the right to discontinue any aspect of the Website, App, or SMS services at any time.
4. Warranty Disclaimer
a. YOU AGREE THAT YOUR USE OF THE WEBSITE, APP, AND SMS SERVICES SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, JAUNT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE, APP, SMS SERVICES, AND YOUR USE THEREOF.
5. Limitation of Liability
a. IN NO EVENT SHALL JAUNT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM YOUR USE OF THE WEBSITE, APP, OR SMS SERVICES.
6. Indemnity
a. You agree to defend, indemnify and hold harmless Jaunt, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney’s fees) arising from your use of and access to the Website, App, and/or SMS services or your violation of any term of these Terms of Service.
7. Ability to Accept Terms of Service
a. You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into these Terms of Service.
8. Assignment
a. These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Jaunt without restriction.
9. General
a. You agree that:
(i) the Website, App, and SMS services shall be deemed solely based in Virginia; and
(ii) the Website, App, and/or SMS services shall be deemed passive services that do not give rise to personal jurisdiction over Jaunt in jurisdictions other than Virginia.
These Terms of Service shall be governed by the internal substantive laws of the Commonwealth of Virginia, without respect to its conflict of laws principles.
Any claim or dispute between you and Jaunt that arises in whole or in part from the Website, App, or SMS services shall be decided exclusively by a state court of competent jurisdiction located in Virginia.
These Terms of Service, together with the Privacy Policy and any other legal notices published by Jaunt, shall constitute the entire agreement between you and Jaunt concerning the Website, App, and SMS services.
